⚠️ Important Communication – Mr. Zaher

Dear Valued Business Partners,

The management of DHG – Deutsche Heilmittel GmbH (hereinafter referred to as “DHG”) is issuing this notice to formally inform you of important resolutions passed during the extraordinary shareholders’ meeting of DHG on February 20, 2025, in Münster, Germany.

Key Resolutions and Announcements:

1. Mr. Ahmed Zaher’s Removal from DHG: Effective immediately, Mr. Ahmed Zaher is no longer authorized to represent DHG – Deutsche Heilmittel GmbH in any capacity. He has been officially removed from all operational and managerial roles within the company.
   Any communication, agreement, or transaction initiated by Mr. Zaher should not be considered as an official representation of DHG.
2. Legal Basis for Director Appointment and Removal: Pursuant to § 46 No. 5 GmbHG (German Limited Liability Companies Act), resolutions passed by the shareholders serve as the primary legal authority for appointing or removing company representatives and managing directors.
   The shareholders of DHG have formally resolved to remove Mr. Zaher from his managerial duties, and this decision is fully legally effective.
   Although Mr. Zaher’s name may still appear in the commercial register, the company’s legal representatives and notary are currently correcting this entry, which has no legal bearing.
3. Termination of Access to Company Resources: Mr. Zaher no longer has access to DHG’s bank accounts, email systems, warehouses, logistics, or any other company-related resources. Any attempts by Mr. Zaher to act on behalf of DHG are unauthorized and should be disregarded.
4. Unauthorized Email Domain: We have identified that Mr. Zaher is using an unauthorized, similar email domain to communicate with external parties.

   Legal action is underway to address this unauthorized use and to safeguard the company’s legal representation through its official communication channels.
5. Officially Authorized Representatives: The following individuals are the only authorized representatives of DHG going forward:
   • Mr. Ashraf Elsamman
   • Mr. Mohamed Elsayyad
   • Mr. Alaa Emam
6. Report Misrepresentation Immediately: If Mr. Zaher misrepresents himself as a representative, managing director, or authorized individual of DHG, please report such incidents immediately to the following contacts:
